TERMS OF SERVICE

Welcome to MMC Labs Inc. (“MMC,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern access to and use of MMC’s websites, applications, software, demos, portals, APIs, products, and services, including but not limited to:

(collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to use the Services.

If you are accessing the Services on behalf of an organization, institution, clinic, university, company, research partner, sports organization, government entity, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Description of Services

MMC provides software and services related to camera-based measurement, computer vision, artificial intelligence, machine learning, motion analysis, motion capture, recognition, segmentation, tracking, analytics, reporting, research support, consulting, software interfaces, protocol development, workflow automation, and related technologies.

Services may include:

  • real-time motion analysis

  • uploaded media processing

  • movement analytics

  • reporting and visualization

  • research support

  • consulting services

  • protocol development

  • software interfaces and dashboards

  • APIs and integrations

  • data export tools

  • cloud-hosted services

  • artificial intelligence and computer vision workflows

  • beta, pilot, research, or experimental features

MMC reserves the right to modify, suspend, discontinue, improve, expand, or replace any portion of the Services at any time.

3. No Medical Advice or Clinical Decision-Making

MMC Services are provided for informational, research, educational, workflow support, demonstration, evaluation, analytical, and software assistance purposes only.

Unless expressly stated otherwise in writing, MMC Services are not intended to function as medical devices, diagnostic tools, treatment recommendations, rehabilitation prescriptions, or clinical decision-making systems.

Any outputs, analytics, measurements, classifications, movement assessments, breathing analyses, quality metrics, reports, or recommendations generated through the Services are estimates and should not be relied upon as the sole basis for medical, healthcare, safety, employment, or other significant decisions.

Users remain responsible for obtaining appropriate independent professional evaluation where necessary.

4. Accuracy and Limitations

MMC strives to provide accurate and reliable outputs; however, results may vary depending on:

  • camera placement

  • lighting conditions

  • hardware quality

  • visibility and occlusion

  • movement environment

  • subject positioning

  • calibration quality

  • software configuration

  • network performance

  • environmental conditions

  • user configurations

  • experimental features

Outputs generated through camera-based measurement systems, artificial intelligence, computer vision systems, markerless motion capture, or related technologies may contain estimation error, uncertainty, or limitations.

MMC makes no guarantee that the Services will be uninterrupted, error-free, suitable for every environment, or appropriate for every intended use.

5. Accounts and Security

Certain Services may require account registration.

You agree to:

  • maintain accurate information

  • keep login credentials confidential

  • maintain reasonable security over your account

  • promptly notify MMC of unauthorized use or suspected compromise

  • remain responsible for activity occurring under your account

MMC reserves the right to suspend, restrict, or terminate accounts where reasonably necessary to protect the Services, customer data, intellectual property, security, legal compliance, or other users.

6. User Content and Customer Data

You retain ownership of content, videos, images, media, recordings, uploads, documents, data, information, or other materials submitted to the Services ("User Content").

By using the Services, you grant MMC a limited, worldwide, non-exclusive license to:

  • process User Content

  • temporarily store User Content

  • analyze User Content

  • provide requested Services

  • generate reports and outputs

  • troubleshoot services

  • secure Services

  • improve system performance

  • support integrations

  • maintain platform reliability

Where permitted by applicable law, customer agreement, or user authorization, MMC may use processed, aggregated, de-identified, or anonymized information to:

  • improve Services

  • improve models

  • improve system performance

  • conduct internal research and development

  • validate platform functionality

  • improve future versions of the Services

MMC will not sell raw user videos.

Unless expressly authorized through a separate written agreement, MMC will not use raw customer videos for generalized model training.

6A. Customer Authority to Upload Data

You represent and warrant that you possess all rights, permissions, consents, approvals, authorizations, and other lawful authority necessary to upload, submit, transmit, process, store, or otherwise make available User Content through the Services.

Where User Content contains information relating to other individuals, including personal information, videos, photographs, motion recordings, research participant information, health-related information, or similar materials, you represent that you have obtained any permissions, participant consent, legal authority, or institutional approvals required for MMC to process such information.

MMC does not independently verify participant consent or customer authority and relies upon users and customer organizations to satisfy applicable legal, ethical, institutional, contractual, and regulatory requirements.

Where Services are provided to organizations, institutions, universities, clinics, healthcare providers, sports organizations, research groups, or companies, MMC may process information on behalf of those organizations under separate customer agreements or Data Processing Addenda where applicable.

7. Data Streaming, APIs, and Integrations

MMC may provide:

  • live data streaming

  • APIs

  • integrations

  • exports

  • dashboards

  • developer tools

Access may be limited, modified, suspended, discontinued, or governed by separate agreements.

MMC may impose reasonable authentication requirements, technical limitations, usage limits, security requirements, or rate limits.

8. Acceptable Use

You agree not to:

  • violate applicable laws

  • misuse Services

  • upload unlawful or harmful material

  • interfere with platform security

  • attempt unauthorized access

  • exploit vulnerabilities

  • reproduce proprietary methods

  • scrape outputs or systems

  • benchmark Services for competitive purposes without written permission

  • reverse engineer, decompile, derive, reconstruct, infer, reproduce, or attempt to discover MMC's proprietary methods, workflows, algorithms, software, models, protocols, or confidential information

  • train competing systems using MMC outputs or Services except where expressly authorized

  • use confidential MMC information in grant applications, funding proposals, publications, commercialization efforts, or competing products without MMC's prior written consent

Any attempt to replicate, infer, reconstruct, or circumvent MMC’s proprietary methods, workflows, software, or trade secrets is prohibited.

9. Intellectual Property

All rights, title, and interest in MMC’s Services, including:

  • software

  • artificial intelligence models

  • workflows

  • protocols

  • interfaces

  • methodologies

  • algorithms

  • documentation

  • visualizations

  • reports

  • trade secrets

  • branding

  • designs

  • source code

  • platform architecture

  • generalized improvements

remain the exclusive property of MMC Labs Inc. and its licensors.

Nothing in these Terms transfers ownership of MMC intellectual property.

10. Confidentiality and Trade Secrets

MMC Services may incorporate confidential and proprietary information.

Users agree not to:

  • copy

  • disclose

  • reproduce

  • extract

  • reverse engineer

  • commercially exploit

  • misuse

MMC confidential information except as expressly authorized in writing

11. Research, Beta, and Demonstration Use

Certain Services, protocols, demos, pilots, workflows, software models, or features may be designated as:

  • research

  • beta

  • pilot

  • demonstration

  • prototype

  • experimental

Such Services may:

  • change without notice

  • contain limitations

  • not be validated for every use case

  • be discontinued

  • become subject to separate pricing

  • be replaced by commercial versions

These features are provided “as available.”

12. Limitation of Liability

To the maximum extent permitted by law, MMC Inc. shall not be liable for:

  • indirect damages

  • consequential damages

  • lost profits

  • business interruption

  • data loss

  • health outcomes

  • reliance on outputs

  • errors in analysis

MMC’s total liability shall not exceed the amount paid by the user to MMC for the applicable Services during the preceding twelve (12) months.

13. Indemnification

You agree to indemnify and hold harmless MMC Inc., its founders, officers, employees, contractors, and affiliates from claims arising from:

  • misuse of Services

  • unlawful activity

  • breach of these Terms

  • improper reliance on outputs

14. Suspension and Termination

MMC may suspend, restrict, or terminate access where reasonably necessary because of:

  • misuse

  • security concerns

  • suspected unathorized use

  • suspected fraudulent activity

  • non-payment

  • legal risk

  • violations of these Terms

  • attempts to interfere with platform secpresentinguirty

  • attempts to misuse MMC intellectual property

  • activities p0resenting unreasonable operational, legal, or security risk

14A. Data Following Termination

Following termination of Services or an account, MMC may retain or delete information in accordance with its retention policies, customer agreements, legal obligations, security requirements, backup procedures, and operational needs.

Certain processed, aggregated, de-identified, or anonymized information may continue to be retained where reasonably necessary for:

  • legal compliance

  • auditing

  • platform improvement

  • internal research and development

  • quality assurance

  • security

  • fraud prevention

  • system validation

Deletion of uploaded content does not necessarily require removal of information already incorporated into aggregated statistics, de-identified datasets, quality assurance processes, or generalized system improvements where permitted by applicable law or customer agreement.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ontario, Canada.

Before commencing formal legal proceedings, parties agree to attempt good-faith informal resolution.

Where disputes cannot be resolved informally, disputes shall be subject to Ontario courts.

16. Changes to Terms

MMC may update these Terms periodically.

Updated versions will be posted through the Services.

Continued use of the Services constitutes acceptance of the revised Terms.
