TERMS OF SERVICE

Welcome to MMC Labs Inc. (“MMC,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern access to and use of MMC’s websites, applications, software, demos, portals, APIs, products, and services, including but not limited to:
any future MMC web, desktop, mobile, software, API, or customer-facing services
(collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility
You must be legally capable of entering into a binding agreement in your jurisdiction to use the Services.
If you are accessing the Services on behalf of an organization, institution, clinic, university, company, or research partner, you represent that you have authority to bind that entity.
2. Description of Services
MMC provides computer vision, motion analysis, motion capture, recognition, segmentation, tracking, analytics, software interfaces, reporting, research support, and related tools.
Services may include:
real-time motion analysis
live demos
uploaded media processing
movement analytics
reporting and visualization
research and consulting support
software interfaces and dashboards
APIs and integrations
data export tools
cloud-hosted services
MMC reserves the right to modify, suspend, discontinue, improve, or expand Services at any time.
3. No Medical Advice or Clinical Decision-Making
MMC Services are provided for informational, research, educational, workflow support, demonstration, evaluation, and analytical purposes only.
MMC does not provide medical advice, diagnosis, treatment, rehabilitation prescriptions, or healthcare decision-making.
Any outputs, insights, analytics, measurements, classifications, movement assessments, quality metrics, or reports generated through the Services are estimates and should not be relied upon as the sole basis for medical, health, or safety decisions.
Users are responsible for independent professional evaluation where appropriate.
4. Accuracy and Limitations
MMC strives to provide accurate and reliable outputs; however, results may vary depending on:
camera placement
lighting conditions
hardware quality
visibility and occlusion
movement environment
subject positioning
calibration quality
software configuration
network performance
Outputs generated through single-camera or computer vision systems may contain limitations, uncertainty, or estimation error.
MMC makes no guarantee that Services will be uninterrupted, error-free, or suitable for any specific purpose.
5. Accounts and Security
Certain Services may require account registration.
You agree to:
maintain accurate information
keep login credentials confidential
promptly notify MMC of unauthorized use
remain responsible for activity under your account
MMC reserves the right to suspend or terminate accounts for misuse, abuse, security concerns, or violation of these Terms.
6. User Content and Customer Data
You retain ownership of content, data, videos, media, information, recordings, uploads, or materials you submit to the Services (“User Content”).
By using the Services, you grant MMC a limited, worldwide, non-exclusive license to:
process User Content
analyze User Content
temporarily store User Content
provide requested Services
improve system performance
troubleshoot and secure Services
generate reports and outputs
Where reasonably possible, MMC may use processed, aggregated, de-identified, or anonymized data to:
improve Services
improve models
enhance accuracy
support internal research and development
improve system performance
MMC will not sell raw user videos.
7. Data Streaming, APIs, and Integrations
MMC may provide:
live data streaming
APIs
integrations
exports
dashboards
developer tools
Access to such functionality may be limited, modified, suspended, or governed by separate terms.
MMC reserves the right to impose reasonable usage limits, authentication requirements, and technical restrictions.
8. Acceptable Use
You agree not to:
violate applicable laws
misuse Services
upload unlawful or harmful material
interfere with platform security
attempt unauthorized access
reverse engineer Services
reproduce proprietary methods
scrape outputs or systems
benchmark Services for competitive purposes without permission
train competing systems using MMC outputs or Services
exploit vulnerabilities
Any attempt to replicate, infer, reconstruct, or circumvent MMC’s proprietary methods, workflows, software, or trade secrets is prohibited.
9. Intellectual Property
All rights, title, and interest in MMC’s Services, including:
software
models
workflows
interfaces
methodologies
visualizations
systems
documentation
algorithms
trade secrets
branding
designs
reports
remain the exclusive property of MMC Inc. and its licensors.
Nothing in these Terms transfers ownership rights to users.
10. Confidentiality and Trade Secrets
MMC’s systems may incorporate proprietary and confidential methods.
Users agree not to:
copy
disclose
reproduce
extract
reverse engineer
commercially exploit
MMC confidential information without written consent.
11. Research, Beta, and Demonstration Use
Certain Services, demos, pilots, or features may be designated as:
experimental
research-based
beta
demonstration
pilot
Such Services are provided “as available” and may change, contain limitations, or be discontinued without notice.
12. Limitation of Liability
To the maximum extent permitted by law, MMC Inc. shall not be liable for:
indirect damages
consequential damages
lost profits
business interruption
data loss
health outcomes
reliance on outputs
errors in analysis
MMC’s total liability shall not exceed the amount paid by the user to MMC for the applicable Services during the preceding twelve (12) months.
13. Indemnification
You agree to indemnify and hold harmless MMC Inc., its founders, officers, employees, contractors, and affiliates from claims arising from:
misuse of Services
unlawful activity
breach of these Terms
improper reliance on outputs
14. Termination
MMC may suspend or terminate access at any time for:
misuse
security concerns
non-payment
legal risk
Terms violations
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ontario, Canada.
Before commencing formal legal proceedings, parties agree to attempt good-faith informal resolution.
Where disputes cannot be resolved informally, disputes shall be subject to Ontario courts.
16. Changes to Terms
MMC may update these Terms periodically.
Continued use of the Services constitutes acceptance of updated Terms.
